Welcome to Norline Studio. By accessing or using our website (norlinestudio.in) and engaging our services, you agree to be bound by these Terms & Conditions. If you do not agree, please discontinue use of our services.

1. Definitions

"We", "us", "our", or "Norline Studio" refers to Norline Studio, a creative studio based in India offering design, media, and AI services. "You", "your", or "Client" refers to the individual, organisation, or entity accessing our website or engaging our services. "Services" includes brand design, web development, content production, AI integration, and related creative work.

2. Acceptance of Terms

By using our website or engaging us for a project, you confirm that you have read, understood, and agree to these Terms & Conditions, along with our Privacy Policy. These terms apply to all visitors, clients, and collaborators.

3. Services

Norline Studio provides creative services across Design, Media, and AI. The scope, deliverables, timelines, and pricing of each project will be defined in a separate proposal, statement of work (SOW), or written agreement between us and the client. These Terms apply alongside any project-specific agreement; in case of conflict, the project agreement prevails.

4. Project Engagement & Payment

  • Projects begin only after a written agreement and the initial advance payment (typically 50%) is received.
  • The remaining balance is due upon project completion or as agreed in milestone-based contracts.
  • Late payments may attract interest charges and may pause active work.
  • All prices are in Indian Rupees (INR) unless otherwise stated and are exclusive of applicable taxes (e.g. GST).
  • Payments can be made via bank transfer, UPI, or other agreed payment methods.

5. Intellectual Property

Upon full payment, the final deliverables (e.g. logos, designs, videos, code) produced specifically for the client transfer to the client for their intended use. Norline Studio retains the right to display the work in our portfolio, case studies, and marketing materials unless explicitly restricted in writing.

All preliminary concepts, source files, and unused work remain the property of Norline Studio unless otherwise agreed. Pre-existing assets, frameworks, code libraries, and proprietary methodologies used by Norline Studio remain our intellectual property.

6. Client Responsibilities

  • Provide clear briefs, accurate information, brand assets, and timely feedback.
  • Ensure that all materials provided to us (copy, images, logos, etc.) are owned by you or properly licensed.
  • Designate a point of contact authorised to make project decisions.
  • Respond to revision requests, approvals, and queries within reasonable timeframes to avoid delays.

7. Revisions

Each project includes a defined number of revision rounds as specified in the project agreement. Additional revisions beyond the agreed scope will be billed at our standard hourly rate or as a separate change order.

8. Cancellations & Refunds

If a project is cancelled by the client after work has commenced, the initial advance is non-refundable. Any additional work completed up to the point of cancellation will be invoiced based on time and resources spent. If Norline Studio cancels a project, any unused portion of the advance will be refunded.

9. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement, including business strategies, internal documents, source files, and pricing. This obligation continues even after the project concludes.

10. Limitation of Liability

Norline Studio's total liability for any claim arising out of or relating to our services shall not exceed the total amount paid by the client for the specific project that gave rise to the claim. We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of profit, revenue, or business opportunity.

11. Third-Party Tools & Services

Projects may involve third-party tools, platforms, or services (e.g. hosting providers, AI APIs, fonts, stock assets). The client is responsible for the costs and terms of these third-party services unless explicitly agreed otherwise. Norline Studio is not liable for any failure, downtime, or pricing changes of third-party services.

12. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, internet outages, war, government action, pandemics, or other acts of God.

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts in India.

14. Changes to These Terms

We may update these Terms & Conditions from time to time. The updated version will be posted on this page with a revised "last updated" date. Continued use of our services after changes constitutes acceptance of the revised Terms.
